Constitution and By-laws

CONSTITUTION

 

ARTICLE I

 

ORGANIZATION NAME

 

Sec. 1 The name of this organization shall be Harmony Middle School Band Boosters, Inc. (also

commonly known as Harmony Band Boosters or Band Boosters) and is organized to

operate within the meaning of Section 501 (C) 3 of the Internal Revenue Code or any

corresponding section of any future federal tax codes.

           

           

ARTICLE II

           

                        MISSION STATEMENT

 

Sec. 1 The mission of the Harmony Middle School Band Boosters is to support the Harmony

Middle School Band. We provide financial support through fund-raising activities and donations and provide adult volunteers to assist the Harmony Middle School band program, students, and director.

 

ARTICLE III

PURPOSE AND OBJECTIVE OF THE HARMONY BAND BOOSTERS

 

Sec. 1 To encourage and sustain an enthusiastic interest among Band members, parents,

Harmony Middle School (hereinafter referred to as HMS) student body, faculty and staff, and members of the community in the Band program of HMS

 

Sec. 2 To lend support, both moral and financial, to the general Band programs at Harmony

Middle School.

 

Sec. 3 To raise funds to finance or partially finance the activities, education, transportation, to

purchase equipment, uniforms and any other items and supplies for the Harmony Middle

School Band students not furnished by the Loudoun County Public School System.

 

Sec. 4 To support the HMS Band Director, the HMS administration, and the Loudoun County

School Board to ensure the HMS Band program is maintained with the highest possible degree of quality, efficiency, and integrity.

 

ARTICLE III

MEMBERSHIP

 

Sec. 1 All parents and guardians of students in the Harmony Middle School Band and all

Harmony Middle School band students are automatically members of Harmony Band Boosters. 

           

 

DUES

 

Sec. 1 There shall be no dues required to be a member of the Harmony Middle School Band

Boosters.

 

ARTICLE IV

 

OFFICERS

 

Sec. 1 The HMS Band Boosters will maintain a minimum of 5 officers which will include a

President, Vice-President, Secretary, Treasurer, and Uniform Chair. Other offices such as an additional secretary or additional vice-presidents may be added whenever needed. When 8th grade band students march with the high school band, the office of high school liaison may also be included as an officer position per the discretion of the executive board and/or band director.

 

Sec. 2 Any persons married or otherwise related shall not hold two separate executive positions.

 

Sec. 3 The officers shall be elected by majority vote to serve for one year, and their term of office

shall be from July 1 through June 30.

 

Sec. 4 No member shall hold more than one office at a time and no member may hold an office

more than four times consecutively unless a special exception vote is taken. 

 

Sec. 5 In case of a vacancy in the office of President, the Vice-President shall ascend to the

Presidency. Vacancies in any other office shall be filled by majority vote of the general membership. The general membership shall act as a nominating committee and submit nominations at the next scheduled meeting or at a special meeting if deemed necessary.

 

ARTICLE V

FISCAL YEAR

 

Sec. 1 The fiscal year runs from July 1 through June 30.

 

 


BY-LAWS

 

ARTICLE I

 

DUTIES OF OFFICERS

 

Sec. 1 The PRESIDENT presides at meetings and events of the organization, facilitates the

formation of committees, and is an ex-officio member of all committees and activities, except the Nominating committee.

 

Sec. 2 The VICE-PRESIDENT assumes all the duties of the president in their absence, oversees

fundraising, serves as the Chair of the Ways and Means Committee (fundraising), and assumes other duties as required.

 

Sec. 3 The SECRETARY keeps the records and minutes of all meetings, a copy of the bylaws

and a copy of the membership list, reserves facilities for all Band Booster events, attends to all correspondence, and assumes other duties as required. The Secretary transfers materials and acquaints the Secretary-Elect with their duties.

 

Sec. 4   The TREASURER receipts all funds paid to the organization, approves remittance of organization funds for all obligations, and prepares the monthly financial records of the organization to present to the Executive Board. The President will be an authorized signatory on all Band Booster accounts and will act in the Treasurer’s stead to receipt and remit organization funds in the event of the Treasurer’s temporary absence or inability to perform their duties. Withdrawals from any checking or savings accounts that do not correspond to a line item on the budget shall require the signature of both the treasurer and the president. The Treasurer will train the Treasurer-Elect to assume their duties before the Treasurer-Elect’s term begins.

 

Sec. 5 The UNIFORMS CHAIR manages all aspects of the uniforms; Including, but not limited

to, fittings, repairs, alterations, cleaning, and inventory.

           

            Sec. 6 The HIGH SCHOOL LIASION shall keep informed of the activities and schedule of the

high school marching band, report such to general band booster organization to facilitate 8th grader involvement in the high school marching band and community support of the high school marching band.

 

ARTICLE II

 

THE EXECUTIVE BOARD

 

Sec. 1 The Executive Board shall be composed of the Band Boosters’ Officers and the band

director.

 

Sec.2 The Executive Board shall meet at the discretion of the President and/or Band Director(s)

to pass emergency measures that cannot be delayed until the next regularly scheduled Band Booster meeting.  They may also meet at the discretion of the President to discuss and organize as needed.

 

Sec. 3 Any emergency measure passed by the Executive Board shall be brought up and

reviewed at the next regularly scheduled Band Booster meeting.

 

Sec. 4 Review the financial status of the Band Booster members and submit an Annual Budget

for the upcoming year to the Booster membership for approval.

           

            Sec. 5 Members of the Executive Board shall not take any action or assume any responsibility as

individuals.

           

            Sec. 6 Removing a board member or officer can occur by majority vote at a regularly scheduled

meeting where the item was placed on the written agenda distributed at least two weeks ahead.

 

ARTICLE III

 

MEETINGS

 

Sec. 1 The regular meeting dates and time of the Band Boosters shall be designated at the

beginning of the school year. 

 

Sec. 2 Special meetings of the Executive Board or officers may be called by the President, Vice-

President(s) and/or Band Director(s).

 

Sec. 3 The May or June  Band Booster meeting shall be known as the Annual Meeting and shall

be for the purpose of electing officers, receiving year end reports of officers and

committees and for any other business relating to the Harmony Band Booster’s. Meeting

minutes must reflect outgoing officers and incoming officers.

 

ARTICLE IV

 

QUORUM

 

Sec. 1 Members present at any announced meeting shall constitute a Quorum.

 

ARTICLE V

 

OFFICERS AND THEIR ELECTION

 

Sec. 1 At the regular meeting held in February or March, a Nominating Committee of three

members shall be elected by the membership. The Nominating Committee shall report on

the candidates at the regular meeting in March or April. Before the election at the election

meeting in April or May, additional nominations from the floor shall be permitted.

 

Sec. 2 Officers are to be elected at the election meeting in April or May and will assume their

duties at the close of the Annual Meeting in May or June.  New officers shall assume their positions at the beginning of the next fiscal year (July 1), but expected to attend the remainder of the meetings for the year, shadowing current officer.

 

Sec. 3 All Band Booster members must be notified 30 days prior to the Election meeting in April

or May of the candidates to be elected as new officers.

 

Sec. 4 A majority vote of the members present shall constitute an election.

 

Sec. 5  All votes will be by a show of hands unless a secret ballot is requested.

 

Sec. 6  Any vacancies shall be filled by appointment of the President with the approval of the

remaining officers. In the event that the President Position is vacated, the Vice President shall assume the duties of the President, with the approval of the remaining officers.

 

 

 

ARTICLE VI

 

STANDING COMMITTEES

 

Sec. 1 The executive board shall hold the power to create and dissolve standing and temporary

committees as it sees fit.

 

ARTICLE VII

 

FINANCIAL

 

Sec. 1 The Treasurer, at the end of each fiscal year, shall prepare an Annual Financial Report

which will be made available to the general membership in October.

           

            Sec. 2 At the close of the school year, the books of the association shall be audited.

 

            Sec. 3 An annual financial report will be filed with the Principal of Harmony Middle School.

 

ARTICLE VIII

 

AMENDMENTS

 

Sec. 1 The Constitution and By-Laws may be amended by a majority vote of the members

present at any regular meeting. The Amendments must have been presented at the

preceding regular meeting of the Band Boosters.

 

Sec. 2 The Constitution and By-Laws will be made available each year at the regular October

meeting.

 

ARTICLE IX

 

AUTHORITY

 

Sec. 1 The rules contained in Robert’s Rules of Order, latest edition, shall govern the Harmony

Band Boosters in all cases in which they do not conflict with the Constitution and By-

Laws.

 

ARTICLE X

 

            INDEMNIFICATION

 

Sec. 1 Harmony Band Boosters, to the extent legally permissible, indemnify each person who

may serve or who has served at any time as an officer, director, or employee of the

corporation against all expenses and liabilities, including, without limitation, counsel fees, judgments, fines, excise taxes, penalties and settlement payments, reasonably incurred by or imposed upon such person in connection with any threatened, pending or completed action, suit or proceeding in which he or she may become involved by reason of his or her service in such capacity; provided that no indemnification shall be provided for any such person with respect to any matter as to which he or she shall have been finally adjudicated in any proceeding not to have acted in good faith in the reasonable belief that such action was in the best interests of the corporation; and further provided that any compromise or settlement payment shall be approved by a majority vote of a quorum of directors who are not at that time parties to the proceeding.

 

ARTICLE XI

           

            DISSOLUTION CLAUSE

 

Sec. 1 The Harmony Band Band Booster organization may be dissolved:

a.  at the discretion of the current Band Director and with the agreement of administration

of Harmony Middle School,  or

b. upon the recommendation of the Officers to the General Membership

 

Sec. 2 In the event the Harmony Band Booster organization dissolves and ceases to exist, net

assets remaining at the time of dissolution will revert to the Harmony Middle School Band Department with funds to be spent via the Band Director’s discretion.

 

 

IN WITNESS WHEREOF, the Harmony Band Boosters has caused this Constitution and By-Laws to be executed by its duly authorized officers this 9th day of October, 2014.
